Bithumb, a prominent cryptocurrency exchange based in South Korea, has set its sights on going public by 2028. The exchange is currently revamping its operational framework, focusing on enhancing governance, financial disclosures, and stricter internal controls in preparation for this initial public offering (IPO).
Operational Enhancements
To ensure compliance and transparency, Bithumb is collaborating with top local accounting firms to develop a comprehensive risk management system, transitioning its financial reporting standards from Korean Generally Accepted Accounting Principles (K-GAAP) to Korean International Financial Reporting Standards (K-IFRS).
In an effort to clarify roles within its corporate structure, Bithumb has also restructured its operations, notably spinning off Bithumb Asset. This reorganization is aimed at delineating responsibilities across various business units. Furthermore, the company is diversifying its business approach and bolstering liquidity to enhance overall financial stability ahead of its public listing.
Commitment to Transparency
The exchange has committed to increasing transparency by routinely disclosing its financial health and key management issues, as well as its cryptocurrency holdings. To facilitate its IPO process, it is engaging both domestic and international law firms, accounting firms, and securities institutions for assistance in evaluating corporate value and conducting legal risk assessments.
IPO Timeline
Bithumb’s IPO plan unfolds over a three-year timeframe, commencing with the enhancements to internal controls and the K-IFRS transition slated for completion by 2026. In 2027, the exchange intends to file for a preliminary listing and finalize audits prior to its target of completing the IPO in 2028. The timeline, however, may adapt based on market fluctuations and regulatory evaluations.
This announcement follows earlier remarks from Bithumb’s Chief Financial Officer, Jeong Sang-gyun, confirming the company’s ambition for an IPO by 2028. The firm has also sealed an advisory agreement with Samjong KPMG, extending until the close of 2027 to further these efforts.
Market Dynamics and Regulatory Challenges
Earlier this year, Bithumb was reportedly in discussions with Kiwoom Securities regarding the potential sale of new shares, although specifics around investment amounts and ownership stakes were still under negotiation. Bithumb aims to utilize the IPO not merely to enhance its size, but to foster confidence through demonstrated management transparency.
The upcoming listing is also a response to various regulatory challenges the exchange has faced, including a fine imposed by South Korea’s Personal Information Protection Commission for lapses in personal data transfers to overseas entities. These regulatory hurdles have driven Bithumb to improve its compliance protocols and enhance corporate governance as part of its IPO strategy.
