H100 Group Appoints New Chief Investment Officer
H100 Group has named Peter C. Warren as its new Chief Investment Officer, effective August 12. This strategic move comes on the heels of the company’s recent acquisition of NSD AS, which significantly boosted its Bitcoin treasury by 2,455.37 BTC. The acquisition notably raised H100’s total Bitcoin holdings to 3,506.4 BTC, nearly tripling its treasury.
Peter C. Warren’s Background and Responsibilities
Warren, who previously managed approximately 2,450 BTC alongside H100’s CEO, Eirik Grøttum, at Moonshot AS and PDI AS, has a wealth of experience amassed over 45 years in capital markets, including roles as trader, market maker, and fund manager.
His primary responsibilities at H100 will involve enhancing the group’s derivatives investments and risk management strategies, particularly through PDI’s active strategies, which aim to maintain capital while minimizing risks and fostering additional revenue streams. Warren expressed that his focus will be to both manage risks and capitalize on Bitcoin’s long-term growth potential, aligning with the company’s broader investment objective rather than guaranteeing returns.
Details of the NSD Acquisition
The NSD acquisition, finalized on August 10, was executed without direct cash payments; instead, H100 issued 790,534,666 new shares at a price of SEK 1.86 each to the sellers, leading to roughly a 70% dilution in share value for existing shareholders. The deal was finalized using a Bitcoin valuation method that kept the basic sats per share stable but increased the fully diluted value by about 5%. The transaction valued Bitcoin at SEK 598,926.69, equivalent to approximately $62,900, with no reported financial obligations from NSD.
Impact on H100’s Financial Position
As of Wednesday, August 16, the expanded Bitcoin treasury was estimated to be worth around $223 million at Bitcoin’s trading price near $63,637. H100 has increased its Bitcoin positions significantly, having launched its treasury strategy in May 2025 and subsequently raising $54 million, while also cross-listing shares in Frankfurt.
Following Warren’s appointment, H100’s shares saw a noteworthy increase, up 11.55% to close at SEK 1.198 on August 11, which was on the heels of the acquisition announcement.
Extraordinary General Meeting and Shareholder Participation
In conjunction with his new role, an extraordinary general meeting has been scheduled for August 28 to discuss board nominations. Shareholders representing over 10% of the company have proposed the electing of Warren along with other directors, while re-electing Sander Andersen as chairman. Warren is reported to hold 2,472,692 shares in H100, including those from the recent acquisition, although his position does tie him closely with company management and significant shareholders due to his dual role in H100 and Geir Harald Hansen’s family office.
For the extraordinary meeting, shareholders must confirm their participation by August 24, and H100 anticipates the trading of the newly issued shares from the NSD acquisition to commence shortly. The future of H100’s treasury strategy hinges on how effectively PDI’s derivatives capabilities will be utilized, although the company has yet to reveal specific strategies concerning options or risk management parameters necessary to ensure cash flow and protection against potential losses.
