Metaplanet’s Investment in Super League Enterprise
Metaplanet, a prominent player in the cryptocurrency landscape, has announced a substantial investment of 2,100 Bitcoin along with $2.5 million into Super League Enterprise, which is publicly traded on Nasdaq. This investment will grant Metaplanet a commanding 95.7% ownership stake in a new entity named Superplanet, which aims to function as a Bitcoin treasury in the United States.
Details of the Investment
The news was disclosed in a press release on August 18, revealing that Metaplanet will acquire approximately 44.9 million newly issued shares of Super League at an anticipated price of $3 each, in addition to preferred stock and warrants as part of this private placement. Given the prevailing Bitcoin price as of August 14, the transaction values Metaplanet’s initial commitment at roughly $134.6 million. It’s noteworthy that the specific share count will remain unaffected by fluctuations in Bitcoin’s value until the deal is finalized.
Upon completion, Metaplanet’s control over the shares will be significantly marked, holding around 95.7% of Superplanet’s common stock. This figure could adjust to about 93.6% if existing pre-funded warrants held by Super League are exercised. In addition to these common shares, Metaplanet will also receive 100 shares of convertible perpetual preferred stock endowed with voting rights, enabling the Japanese company to select a majority of the board members for Superplanet.
Warrants and Future Investments
Furthermore, Metaplanet will secure warrants that extend over a decade, which will allow for the potential acquisition of up to 381 million common shares in four separate tranches, with exercise prices ranging from $3 to $33.50 per share. Another participant in this funding round, Evo Fund, will obtain warrants for up to 10 million common shares in two tranches, with the securities expected to be issued based on Super League’s closing market price from August 17.
Post-transaction, for a duration of 24 months, Metaplanet will have the right to purchase as many as 2.1 million shares of non-convertible junior liquidity preferred stock, each valued at $100, presenting an opportunity for additional investment amounting to $210 million. Any common shares acquired by Metaplanet through share issuances or warrant exercises will be subjected to a lock-up duration of five years.
Governance and Operations
In terms of governance, Super League will maintain its current advertising and media operations as a distinct division. Matthew Edelman, the existing CEO of Super League, will spearhead Superplanet, while Metaplanet will appoint the chairman of the board. The board will comprise nine directors, five of whom will be appointed by Metaplanet, including CEO Simon Gerovich. The current Super League board will retain four members, including Edelman.
Superplanet is anticipated to operate under the ticker symbol SUPA on Nasdaq, allowing U.S. investors the chance to gain equity exposure to a company that is projected to hold the entire 2,100 BTC upon closing of the deal. As Super League continues its established operations, it is envisioned that the revenues from these activities will persist alongside the Bitcoin treasury managed by Superplanet.
Future Outlook and Market Response
Metaplanet is committed to raising capital within the U.S., while its parent company will focus on the Japanese markets. The Bitcoin held by Superplanet will contribute to Metaplanet’s overall financial statements and be included within the consolidated group.
Gerovich expressed optimism about this dual-platform approach, stating, “We’ve built one of the world’s largest Bitcoin treasuries from Japan. Superplanet is how we build in America, the deepest capital market in the world.” He emphasized that Metaplanet’s investment would strengthen its U.S. operations through Bitcoin contributions, a share lock-up, and comprehensive capital-markets expertise.
The Bitcoin assets will serve as collateral for potential future offerings of perpetual preferred stock, with expectations that raising capital this way will not lead to further dilution of common shares. Any future issuance of preferred shares by Superplanet would prioritize these securities over Metaplanet’s common and preferred stock and warrants.
This latest transaction marks a significant moment for Metaplanet, contributing 2,100 BTC that represent around 4.9% of its reported 43,000 BTC holdings. The blockchain firm previously expanded its treasury in July by adding 2,823 BTC. There was some speculation regarding the balance of its holdings in August following the transfer of 5,014 BTC between linked accounts, but Gerovich clarified that these movements were standard custodial routine rather than a sale.
Financial Performance and Stock Market Reaction
In the first half of the year, Metaplanet reported remarkable growth, with net sales increasing by 133.7% year-on-year to approximately 4.94 billion yen and operating profits rising 136.3% to about 3.33 billion yen. However, the company faced a sizable net loss of 182.77 billion yen largely due to a non-cash valuation drop in Bitcoin.
On the eve of the Superplanet announcement, Metaplanet successfully initiated its BitBonds program through a private placement of 200 million yen, offering bonds with interest rates between 4% and 4.3%, thereby diversifying its funding avenues.
Following the announcement, Super League’s stock experienced a remarkable surge during trading hours on August 18. Starting at $6.23 after a prior close of $3.02, shares peaked at $6.85, indicating a substantial intraday increase of approximately 127%. The stock later adjusted to $4.68, maintaining a notable gain.
Simultaneously, Metaplanet’s shares gained 5.07%, closing at 228 yen. As Bitcoin hovered around $64,650, slightly increasing over 24 hours, the companies involved anticipate the completion of their transaction in the fourth quarter of 2026.
