Nasdaq Acquires LeveL Markets LLC
On August 11, Nasdaq announced an agreement to purchase all equity interests in LeveL Markets LLC, one of the prominent alternative trading systems (ATS) in the U.S. This acquisition aligns with Nasdaq’s broader ambition to enhance digital market infrastructure and broaden trading hours, incorporating advancements such as tokenized securities.
Strategic Significance of the Acquisition
Although the company did not disclose financial specifics of the transaction, this move is noteworthy considering Nasdaq’s recent regulatory victories. Earlier in 2023, the U.S. Securities and Exchange Commission (SEC) endorsed Nasdaq’s tokenized securities rules in March, followed by approval of its 23-hour weekday trading initiative in April. Nasdaq is scheduled to roll out this extended trading schedule on December 6, 2026, a strategy aimed at accommodating international investors across various time zones.
LeveL Markets Overview
LeveL Markets has established itself as the third-largest U.S. ATS by trading volume, facilitating substantial daily transactions involving hundreds of millions of shares and over 7,000 symbols, with a clientele exceeding 2,500 institutions. This includes more than 300 institutional buy-side firms operating through numerous order and execution management systems. Nasdaq had previously obtained a minority stake in LeveL in 2021, which later merged with Luminex in 2022, coinciding with a reported 56% increase in LeveL’s average daily volume.
Operational Independence and Management Structure
Following the acquisition, LeveL will maintain its management structure and operational independence while continuing as a registered ATS under the regulatory supervision of FINRA. Nasdaq has guaranteed that LeveL’s existing management team and participant confidentiality will persist, ensuring a separation of operations between the two entities until the deal is finalized.

As this acquisition unfolds, it occurs alongside broader regulatory movements in the financial markets. The SEC is actively exploring the implications of extended trading hours and the operational resilience of markets, with a significant roundtable session scheduled for September 17 to discuss overnight trading and investor safeguards. Nasdaq’s aim is to align more effectively with global trading patterns as it enhances its liquidity offerings.
Advancements in Digital Strategy
Moreover, Nasdaq’s digital strategy is transitioning towards implementation following the SEC’s March approval for trading eligible securities in tokenized formats. This framework facilitates a unified order book system for both tokenized and conventional securities sharing identical CUSIPs, symbolizing a significant shift in market operations. In July, the Depository Trust & Clearing Corporation (DTCC) marked a crucial step by processing live transactions of DTC tokenized assets while preparing for a dedicated tokenization service launch this October.
Collaboration with Payward
Furthermore, in a deliberate push towards merging technology with regulated equity markets, Nasdaq is collaborating with Payward (parent company of Kraken) to design a gateway that connects established markets with blockchain networks in certain jurisdictions. The completion of the LeveL acquisition depends on standard closing conditions and regulatory approvals, the timing of which Nasdaq has yet to announce.

Post-acquisition, LeveL is expected to integrate into the Digital Liquidity Networks division, managed by Roland Chai, who has steered Nasdaq’s digital asset strategy. Chai emphasized the vision for a “programmable, always-on market infrastructure of the future,” which underscores Nasdaq’s commitment to evolving the American equity market landscape.
