Anchorage Digital Seeks Swap Dealer Status with CFTC Amid Firm Growth in Options Trading

Anchorage Digital's Swap Dealer Registration

Anchorage Digital Swap Dealer, LLC has initiated the process to register as a swap dealer under the National Futures Association (NFA), aiming for compliance with regulations overseen by the Commodity Futures Trading Commission (CFTC). This move, announced on November 5, is significant as it positions Anchorage's institutional options business within the same regulatory framework that governs traditional banks involved in similar trading activities.

Impact on Investors and Options Business

For investors holding cryptocurrencies through various means such as funds or corporate treasuries, this application represents a shift in counterparty oversight, detailing how the dealer will manage its capital, handle risk, margin trades, confirm transactions, and interact with clients. According to the company, a major driver of its options business growth has been the increasing number of public companies incorporating Bitcoin and Ethereum into their financial statements, as well as asset managers utilizing options to mitigate exposure to cryptocurrencies.

CEO Nathan McCauley emphasized that obtaining swap dealer registration would enhance Anchorage's capability to serve its clients effectively, ensuring its options platform aligns with the federal standards faced by their financial counterparts.

NFA Registration Requirements

The NFA has set a benchmark of $8 billion in gross notional swap dealing activities over the previous year; firms exceeding this threshold are mandated to pursue registration. In a communication via social media platform X, Anchorage indicated that its options business had surpassed this $8 billion mark, suggesting that this was a motivating factor behind their registration efforts. Although the company has not disclosed explicit figures regarding its options trading volume, achieving this threshold obligates them to register.

Anchorage described the regulatory landscape it seeks to join as equivalent to that established by the Dodd-Frank Act, which applies to traditional financial institutions engaged in interest rate, credit, and foreign exchange markets. As part of the NFA registration process, Anchorage will need to submit Form 7-R, along with a non-refundable application fee of $15,000, among other requirements.

Current Status and Future Prospects

The application is currently under review by the NFA, and there are no announced timelines or effective dates for the registration process. Until the NFA completes its assessment, Anchorage's options business will continue to function under its existing operational licenses.

Company Background and Growth

Founded in San Francisco in 2017, Anchorage Digital has emerged as a pioneering federally chartered digital asset bank recognized by the Office of the Comptroller of the Currency. It also acts as a competent custodian for institutional assets. In addition to its U.S. operations, Anchorage has expanded its services in Singapore, having received a license from the Monetary Authority of Singapore, and in New York, where it holds a BitLicense.

The firm boasts prominent investors such as Andreessen Horowitz, GIC, Goldman Sachs, KKR, and Visa. Following its Series D funding round, Anchorage was valued at over $3 billion and has since secured a $100 million strategic investment from Tether and announced an employee tender offer valuing the company at $4.2 billion. As the custody business continues to grow, Anchorage is also involved in significant projects such as Sui's Hashi initiative amidst an anticipated $500 million Bitcoin launch.

The path forward hinges on the NFA’s review process, with approval expected to integrate Anchorage within a traditional derivatives trading framework, while a delay or withdrawal from registration could result in the options desk maintaining its current operating structure. As of now, no resolution or deadlines have been communicated regarding this application.
