Metaplanet’s Financial Restructuring

In a significant move to restructure its financial obligations, Metaplanet, a Japanese firm known for its Bitcoin treasury operations, is planning to issue zero-interest convertible bonds worth ¥52 billion (around $340 million). The issuance is set for October 29, 2026, with the bonds maturing five years later on October 29, 2031.

Utilization of Capital

The company aims to utilize the capital raised primarily to pay off Bitcoin-collateralized loans and facilitate share repurchases. In a recent disclosure to the Tokyo Stock Exchange on October 13, CEO Simon Gerovich outlined the strategy approved by the board. Net proceeds from the offering are expected to total approximately ¥51.9 billion, with about ¥23.6 billion earmarked for debt repayment and up to ¥28.3 billion allocated for repurchasing shares.

Details of the Convertible Bonds

The convertible bonds will be unsecured and will not yield periodic interest payments, instead allowing investors the option to convert them into ordinary shares. This financing initiative follows a revision of Metaplanet’s Bitcoin borrowing strategy, which aims to cap borrowing below 10% of the company’s net Bitcoin asset value. As of September 30, the company’s borrowing ratio stood at approximately 17.7%, exceeding its established limits, raising concerns about the potential impact of fluctuating Bitcoin market prices on this ratio.

Share Buyback Plan

In conjunction with debt repayments, Metaplanet’s share buyback plan is part of a broader capital allocation framework designed to enhance shareholder value by increasing the Bitcoin collateral backing for its remaining shares. The company’s strategy includes a planned repurchase of shares valued at ¥25.3 billion through the Tokyo Stock Exchange’s ToSTNeT-3 system, which will mitigate the potential influences of significant purchases on market prices.

The board has recently authorized a total buyback program up to ¥60 billion, superseding a previous buyback initiative from October 2025. Metaplanet believes that acquiring shares when their market price falls below the value of underlying Bitcoin holdings will enhance the overall Bitcoin backing of outstanding shares. The company also clarified that the new financing will not be directed toward acquiring additional Bitcoin but will instead focus on debt reduction and share repurchases, keeping the door open for any redeployed capital, should buyback allocations go unused.

Project Nova and Future Plans

Meanwhile, the company continues to develop its financial footprint through Project Nova, aimed at creating innovative financial products centered around Bitcoin. This includes ongoing work with partners to introduce Bitcoin-backed credit and tokenized securities. Metaplanet also completed the acquisition of Siiibo Securities earlier this year, renaming it Metaplanet Securities, as it seeks to broaden its service offerings in the cryptocurrency space.

Strategic Acquisition

This move comes at a crucial time for Metaplanet, as it anticipates the completion of its proposed acquisition of Nasdaq-listed Super League Enterprise using a transaction involving 2,100 BTC and $2.5 million. This acquisition highlights Metaplanet’s intent to solidify its presence in the U.S. market, where it aims to rename the acquired entity Superplanet, enhancing its future operations as a Bitcoin treasury business on an international scale.
