Metaplanet's Share Buyback: A ¥25.27 Billion Move Amidst Stock Price Recovery

Metaplanet's Strategic Share Repurchase

Metaplanet, a company known for its treasury of Bitcoin assets, has made headlines by repurchasing approximately 96.45 million of its own shares, totaling around ¥25.27 billion (equivalent to about $160 million). This strategic move, occurring between October 14 and October 31, represents about 7.1% of the firm's previously outstanding shares and was executed via transactions on the Tokyo Stock Exchange, as noted in a filing made on November 2.

Market Response and Share Performance

The company’s shares were reported to have closed at ¥250 on November 2, marking an increase of 2.46% from the previous day. This resurgence in share price indicates a recovery following earlier declines. During the trading day, the stock experienced fluctuations, reaching a high of ¥255 and a low of ¥238, with 16.53 million shares changing hands. Despite this uptick, the stock remains below the ¥261 threshold used in a significant off-auction repurchase conducted on October 14, where Metaplanet acquired 73,981,400 shares for ¥19.31 billion.

Buyback Program and Financial Strategy

Following a board resolution on October 13, Metaplanet was authorized to repurchase up to 200 million shares, with a financial cap of ¥60 billion. This buyback program is set to extend until October 13, 2027, allowing the management to respond to market conditions with greater agility. As of the end of October, Metaplanet had used about 42.1% of its authorization, leaving it with approximately ¥34.73 billion available for further buybacks.

CEO Simon Gerovich confirmed these transactions and reinforced the company's commitment to prioritizing Bitcoin holdings per share in its capital allocation decisions. The fetch back of shares not only aims to stabilize stock prices but also to enhance the Bitcoin asset representation per remaining share.

Restructuring Financial Strategy

In the realm of financing, Metaplanet is also restructuring its financial strategy to reduce reliance on Bitcoin-backed loans. Announced concurrently with the share purchases was a plan to issue ¥52 billion in zero-coupon convertible bonds, which are set to mature in October 2031. A portion of these funds is earmarked for retiring existing debts while the rest will facilitate further share buybacks. This dual strategy aims to manage liquidity while maintaining a focus on Bitcoin as a core asset, aligning with the company's long-standing policy to retain between 85% and 90% of its portfolio in Bitcoin.

By the end of September, Metaplanet held 44,000 BTC, but its debts tied to Bitcoin had risen above preferred thresholds, prompting a pivot towards permanent equity for future Bitcoin investments.

Importance of mNAV Assessment

The recent share buybacks are in line with Metaplanet's ongoing assessment of its market net asset value (mNAV), which is a critical metric for evaluating its financial health relative to its Bitcoin holdings. Historically, when mNAV dipped to 0.92 in June, the company had considered similar repurchase strategies. This context underlines the strategic importance of the latest buybacks in potentially enhancing shareholder value while navigating a challenging market landscape.
